Platform Agreement & Terms of Service

By creating an account, subscribing, or booking through Winova (the "Platform"), you agree to these Terms. If you do not agree, do not use the Platform.
1. What Winova is (and isn't)
Winova is a booking and payments platform that connects independent service providers ("Providers") with customers ("Clients"). Winova is a technology platform only. We do not provide, supervise, or guarantee any service booked through the Platform. The Provider — not Winova — is solely responsible for the services they offer, their licensing/qualifications, safety, quality, and outcomes. Winova is not a party to any agreement between a Provider and a Client.
2. Accounts
- You must be at least 18 and provide accurate information.
- You are responsible for activity under your account and for keeping your login secure.
- One Provider profile per signed-in user. Impersonation, scraping, or fraudulent accounts are prohibited.
- We may suspend or terminate accounts that violate these Terms, at our discretion.
3. Provider terms
3.1 Subscription (Winova Pro)
- Providers subscribe to Winova Pro at $8.00/month or $80.00/year, billed via Stripe or PayPal (your choice at checkout). Annual plans bill once per year; monthly plans bill each month.
- Subscriptions auto-renew until canceled. You may cancel anytime; access continues until the end of the paid period. Except where required by law, subscription fees are non-refundable, including partial periods.
- New Providers receive a first month free; billing begins at the end of the trial unless canceled beforehand.
- We may change subscription pricing on at least 30 days' notice; changes apply to the next renewal.
3.2 Platform fee
- Winova charges a platform fee of 2.5% of the remaining balance (service total minus the deposit) on bookings processed through the Platform, collected at the time the deposit is taken.
- Deposits are set by the Provider and are paid 100% to the Provider. As a general rule a deposit may not exceed 30% of a service's price. A limited exception allows a small number of a Provider's services to carry a higher deposit, provided the majority of that Provider's services remain at or below 30%; in no case may a deposit exceed the service's total price.
3.3 Payouts & payment processing
- Deposits and balances are processed by third-party processors (Stripe, and where enabled, PayPal). Your use of those services is subject to their terms. To receive deposits directly, Providers must connect a payout account (e.g., Stripe Connect). Winova does not store full card or bank details.
- Providers are solely responsible for all taxes on their earnings and for any required licenses, permits, and insurance.
3.4 Provider conduct
- List services accurately, honor confirmed bookings, and set clear rules (deposit, cancellation, refund).
- Do not use the Platform for unlawful, harmful, discriminatory, or misleading activity.
- You own the content you upload but grant Winova a license to display it to operate the Platform.
4. Client terms
- Booking a service creates an agreement between you and the Provider, not with Winova.
- Deposits are collected at booking, credit toward your total, and are governed by the Provider's stated deposit/cancellation policy. Deposit refunds (if any) are determined by that policy and the Provider.
- The remaining balance is typically paid to the Provider at the appointment.
- You agree to provide accurate contact details and to communicate cancellations per the Provider's policy.
5. Cancellations, no-shows & refunds
- Each Provider sets their own cancellation, rescheduling, no-show, and refund policy, shown on their booking page. Winova does not set or guarantee these policies and is not responsible for issuing service refunds.
- Winova's own subscription fees and platform fees are non-refundable except where required by law.
- Payment disputes between a Client and Provider are between those parties; Winova may, but is not obligated to, assist.
6. Prohibited use
No unlawful, fraudulent, infringing, harassing, or harmful activity; no attempts to bypass fees, circumvent security, reverse engineer, overload, or scrape the Platform; no using Winova to collect payment for prohibited or regulated goods/services you are not licensed to provide.
7. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WINOVA DOES NOT WARRANT THAT SERVICES BOOKED WILL MEET YOUR EXPECTATIONS OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINOVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM SERVICES PROVIDED BY A PROVIDER. WINOVA'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF $100 OR THE SUBSCRIPTION/PLATFORM FEES YOU PAID TO WINOVA IN THE 3 MONTHS BEFORE THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Winova and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your services (if a Provider), or your violation of these Terms or of any law or third-party right.
10. Privacy
Your use of the Platform is also governed by our Privacy Policy, available on our website. We collect and process booking, account, and contact information to operate the Platform, and share necessary data with payment processors and messaging providers (e.g., Stripe, PayPal, Resend, Twilio) to deliver the service.
11. Messaging consent
By providing a phone number or email and booking, you consent to receive transactional messages (booking confirmations and reminders) from Winova and/or the Provider. Message/data rates may apply. You can opt out of texts by replying STOP where supported. (SMS features may be limited until carrier registration is complete.)
12. Changes to these Terms
We may update these Terms; material changes will be posted with a new effective date and, where appropriate, notice. Continued use after changes means you accept them.
13. Termination
We may suspend or end access for violations or to protect the Platform. You may stop using Winova and cancel your subscription at any time. Sections that by their nature should survive (fees owed, disclaimers, liability limits, indemnification) survive termination.
14. Governing law & disputes
These Terms are governed by the laws of the United States and the state in which Winova is operated, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located in that state, except claims that may be brought in small-claims court.
